Deploy the right tool per phase: calibrated open questions and labeling to surface hidden constraints, MESOs (multiple equivalent simultaneous offers) to discover priorities without conceding value, and silence after anchoring. For term sheets and disputes, build an issue matrix scoring each term must-have, trade, or concede, with market-standard ranges. Run a pre-mortem on the strategy: how does this fail, and what is the counterparty's likely playbook.
